Welcome to FitNexus ("Platform", "we", "us", "our"). FitNexus is a fitness networking platform that connects fitness institutions, trainers, and enthusiasts through SaaS management tools, a job marketplace, and fitness tracking features.

By creating an account, accessing, or using FitNexus — whether through our website at fitnexus.net or the FitNexus mobile application — you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform.

• Institution — A fitness center, gym, studio, or sports academy that uses FitNexus for member management, billing, scheduling, and analytics.
• Trainer — A personal trainer or fitness coach who provides training services either through an institution or independently as a freelancer.
• Enthusiast — A fitness enthusiast who uses FitNexus for fitness tracking, workout logging, community engagement, and connecting with trainers.
• User — Any person who creates an account on FitNexus, regardless of their role.
• Services — All features, tools, and functionality provided by the Platform.

To use FitNexus, you must create an account by providing a valid email address and password. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate.
• Keep your password confidential and not share your account credentials with others.
• Be responsible for all activity that occurs under your account.
• Register with only one role (Institution, Trainer, or Enthusiast) per account.

Institutions sign up via the website (fitnexus.net). Trainers and Enthusiasts sign up via the FitNexus mobile application.

Institutions that subscribe to FitNexus receive access to a SaaS management suite that may include:

• Member CRM — Member database, attendance tracking, lead management, and customer segmentation.
• Billing & Invoicing — Invoice generation, payment recording, and overdue reminders.
• Scheduling — Class and event management, bookings, and instructor assignment.
• Check-in — QR code and manual check-in for member attendance.
• Analytics — Dashboard metrics including revenue, member trends, and engagement data.
• AI Assistant — AI-powered insights and notifications (subject to plan limits).
• Job Marketplace — Post job listings to hire trainers.

Institutions are responsible for the accuracy of member data they enter into the system and for complying with applicable data protection laws when managing member information.

New institution accounts receive a free trial period. After the trial expires, access to premium features may be restricted based on the selected subscription plan.

Trainers can operate in two modes on the Platform:

• Institution Mode — Trainers may be connected to one institution at a time. When connected, they can manage assigned clients, create workout plans, and view relevant member data as permitted by the institution.
• Freelance Mode — Trainers can independently manage their own clients, create and sell training packages, offer free demo sessions, and use the AI Plan Writer to generate customized workout plans.

Trainers may apply for jobs posted by institutions through the job marketplace. A trainer may be connected to a maximum of one institution at any time, while also maintaining unlimited freelance client relationships.

Enthusiasts can use FitNexus for:

• Fitness Tracking — Log workouts, track nutrition, and sync health data from devices via Health Connect (Android) or HealthKit (iOS).
• Community — Participate in the activity feed, cheer on other users, join fitness challenges, and connect with other enthusiasts and trainers.
• Challenges — Join or create fitness challenges (workout count, attendance, streaks, steps, active minutes, sleep, workout duration).
• Marketplace — Browse and purchase training packages from institutions and freelance trainers.
• Demo Sessions — Book free introductory sessions with freelance trainers.
• Research Digest — Access AI-curated fitness research articles and summaries.

Health data synced from wearable devices is stored securely and is only shared with trainers or institutions as described in our Privacy Policy.

FitNexus uses Razorpay to process all payments. By making a payment through the Platform, you agree to Razorpay's terms of service and privacy policy.

• Institution Subscriptions — Monthly or annual subscription plans (Basic, Pro, Pro+, Enterprise) with features varying by tier.
• Trainer Commission — A configurable commission percentage (default 15%) may be applied to package sales facilitated through the Platform.
• Transaction Fees — A configurable transaction fee (default 10%) may be applied to package purchases made through the Platform.
• Premium Features — Job boosts, featured trainer profiles, and other add-ons may be purchased separately.

All prices are displayed in Indian Rupees (INR). Refund requests are handled on a case-by-case basis. Please contact info@fitnexus.net for refund inquiries.

FitNexus provides social features including an activity feed, cheering, fitness challenges, and connection requests. When using these features, you agree to:

• Not post content that is offensive, misleading, or harmful.
• Respect other users' privacy and profile visibility preferences.
• Not abuse the challenge or cheering systems.
• Accept that your activity (workouts, streaks, check-ins) may be visible to connected users and community members based on your privacy settings.

You can control what activity is shared via your feed privacy settings. We reserve the right to remove content or suspend accounts that violate these community guidelines.

Your Content: You retain ownership of content you create on FitNexus (workout plans, profile information, posts). By submitting content, you grant FitNexus a non-exclusive, worldwide license to display and distribute that content within the Platform as necessary to provide our Services.

Our Content: All Platform design, code, branding, AI-generated content (research summaries, workout plans generated by AI Plan Writer), and documentation are owned by FitNexus or its licensors. You may not reproduce, distribute, or create derivative works from our content without permission.

AI-Generated Content: Workout plans, research summaries, and other AI-generated content are provided for informational purposes only and should not replace professional medical or fitness advice.

Your use of FitNexus is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data, including health and fitness data.

By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy, in compliance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (DPDP Act).

You agree not to:

• Use the Platform for any unlawful purpose.
• Impersonate another person or entity.
• Scrape, crawl, or use automated tools to extract data from the Platform.
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
• Upload malicious software, viruses, or harmful code.
• Interfere with or disrupt the Platform's operation.
• Create multiple accounts or use the Platform to send unsolicited messages.
• Misrepresent your qualifications, certifications, or identity as a trainer or institution.

To the maximum extent permitted by applicable law:

• FitNexus is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim shall not exceed the amount you paid to FitNexus in the 12 months preceding the claim.
• We are not responsible for the quality, safety, or legality of services provided by trainers or institutions on the Platform.

You may deactivate your account at any time by contacting info@fitnexus.net. We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct.

Upon termination:

• Your access to the Platform will be revoked.
• Your personal data will be handled in accordance with our Privacy Policy and applicable data retention laws.
• Any active subscriptions will not be automatically refunded unless required by applicable law.
• Institutions remain responsible for any outstanding payments or obligations at the time of termination.

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

We may update these Terms from time to time. When we make material changes, we will update the version number and effective date at the top of this page. We may also notify you through the Platform or via email.

Your continued use of FitNexus after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
